Talkobot – Vendor / Partner Terms & Conditions Effective Date: 01-01-2025 Welcome to Talkobot, a product of Techoma Technology Pvt. Ltd. These Vendor / Partner Terms and Conditions (“Terms”) govern the relationship between Talkobot and vendors, resellers, partners, or agencies (“Vendor”) using or reselling Talkobot’s platform, services, or solutions. By registering as a Vendor or using Talkobot services, you agree to comply with and be bound by these Terms. If you do not agree, you must discontinue participation immediately. 1. Acceptance of Terms By accessing the Talkobot platform or entering into a vendor/partner relationship, you acknowledge that you have read, understood, and accepted these Terms along with our Privacy Policy and applicable platform policies. 2. Eligibility Vendors must be at least 18 years of age Vendors must be legally eligible to enter into binding contracts under Indian law Businesses must provide valid registration and tax details (if applicable) 3. Scope of Services Talkobot provides vendors access to WhatsApp and Meta-based communication tools, including but not limited to: WhatsApp Business API solutions Bulk and broadcast messaging Chatbot automation and workflows CRM, analytics, and customer engagement tools White-label and reseller options (subject to approval) Talkobot reserves the right to modify, upgrade, or discontinue any service at its discretion. 4. Vendor Responsibilities Vendors agree to: Provide accurate, complete, and up-to-date business information Ensure end customers comply with Meta, WhatsApp, and applicable regulatory policies Market and resell Talkobot services ethically and lawfully Avoid false claims, misleading promotions, or unauthorized commitments Not engage in spam, phishing, illegal messaging, or policy violations Any misuse may result in immediate suspension or termination. 5. Compliance with Meta & WhatsApp Policies Vendors are solely responsible for ensuring that their customers follow: WhatsApp Business Messaging Policies Meta Platform Policies Local and international data protection laws Talkobot shall not be responsible for account bans, number restrictions, or penalties arising from vendor or customer misuse. 6. Account Security & Access Vendors are responsible for safeguarding login credentials Sharing admin or system access without authorization is prohibited Talkobot will not be liable for losses arising from compromised credentials 7. Commercials, Payments & Payouts Vendors agree to applicable pricing, commissions, or payout structures as mutually agreed All fees paid to Talkobot are non-refundable, unless stated otherwise in a written agreement Payouts, if applicable, are subject to minimum thresholds, timelines, and verification Talkobot reserves the right to revise pricing or commission structures with prior notice 8. Branding & White-Label Usage Vendors may use Talkobot branding, trademarks, or white-label access only as permitted Unauthorized modification, rebranding, or misuse of Talkobot intellectual property is prohibited Talkobot retains full ownership of the platform and technology 9. Intellectual Property Rights All software, platform features, designs, trademarks, content, and documentation remain the exclusive property of Techoma Technology Pvt. Ltd. Vendors receive no ownership rights beyond limited usage permissions. 10. Data Protection & Privacy Vendors must handle customer data responsibly and lawfully Data access is limited strictly to service delivery purposes Vendors must not misuse, sell, or disclose customer data Please review our Privacy Policy for more details. 11. Indemnification Vendors agree to indemnify and hold harmless Talkobot and Techoma Technology Pvt. Ltd. against any claims, losses, penalties, or damages arising from: Vendor misconduct or policy violations Customer misuse introduced by the vendor Regulatory or legal non-compliance 12. Limitation of Liability Talkobot shall not be liable for indirect, incidental, consequential, or business loss damages, including loss of revenue, data, or customers. 13. Termination Talkobot reserves the right to suspend or terminate vendor access immediately, without prior notice, in cases of: Policy violations Fraud, misuse, or unethical practices Non-payment or contractual breach Upon termination, all platform access and vendor rights cease immediately. 14. Relationship Status Nothing in these Terms creates a partnership, employment, or agency relationship. Vendors operate as independent entities. 15. Governing Law & Jurisdiction These Terms shall be governed by and interpreted in accordance with the laws of India, with courts in India having exclusive jurisdiction. 16. Amendments Talkobot may update these Terms from time to time. Continued participation as a vendor constitutes acceptance of the revised Terms. 17.
